Introduction This page sets out the terms under which Adriana Georgescu ("I," "me," or "my") provides coaching services to clients and organisations. By engaging me for coaching or any related services (the "Services"), you ("Client," "you," or "your") agree to the following. Definitions "Adriana Georgescu," "I," "me," or "my" refers to Adriana Georgescu, operating as an executive coach. "Client," "you," or "your" refers to the individual or organisation entering into an agreement with me. Where an organisation sponsors coaching for an individual, both may have obligations under these terms. "Services" means executive coaching, team coaching, and related activities I deliver. "Agreement" refers to the contract formed when you accept a proposal, confirm a booking, or otherwise authorise work to begin. Engagement and scope of work The nature, format, and structure of any engagement will be agreed in writing — typically through a proposal or letter of engagement. By signing, paying, or otherwise confirming a booking, you accept the terms of the engagement. Any changes to the agreed scope must be documented and may affect fees or timelines. Fees, invoicing, and payment Fees are outlined in the proposal or invoice and are exclusive of applicable taxes unless stated otherwise. Payment is due within the timeframe stated on the invoice. Late payment may incur interest or suspension of Services. If you cancel or postpone an engagement, I may charge for work already completed, non-recoverable costs, or agreed cancellation fees as set out in the proposal. Individual sessions cancelled or rescheduled with less than 24 hours' notice are treated as completed and will be charged in full. Sessions rescheduled with at least 24 hours' notice may be moved without charge. Cancellation and rescheduling of sessions If you need to reschedule a session, please give at least 24 hours' notice and I will move it without charge. Sessions cancelled or rescheduled with less than 24 hours' notice are considered completed and charged in full, as the time has been reserved for you. Intellectual property Any original frameworks, written materials, or resources I create and share remain my intellectual property unless explicitly transferred in writing. You may use materials I provide for your own development and internal purposes. You may not reproduce, publish, distribute, or commercially use my materials without prior written consent. Any materials you supply remain your intellectual property. Confidentiality Confidentiality is central to coaching. I treat everything disclosed during an engagement as confidential, in line with my professional obligations as an ICF-credentialed coach, and will not disclose it without your consent. Where an organisation sponsors the coaching, the content of our conversations remains confidential; any reporting to a sponsor will be agreed in advance and limited to what you have consented to (for example, broad themes or progress against goals, not the substance of sessions). Confidentiality obligations do not apply to information that is publicly available, already known to either party, independently developed, or required to be disclosed by law. I may draw on engagement themes in fully anonymised form for writing or reflection, unless we agree otherwise. Privacy and data protection I handle personal data in accordance with applicable data protection law, including the GDPR. Please see my Privacy Policy for details. I collect only the information necessary to deliver the Services and will not share personal data with third parties without your permission, unless required by law. Nature of coaching Coaching is a developmental partnership and is not a substitute for therapy, counselling, medical, legal, or financial advice. I do not diagnose or treat any condition. You remain responsible for your own decisions and actions arising from our work together. Limitation of liability Participation in coaching is undertaken at your own discretion. I am not liable for indirect, incidental, or consequential losses arising from the Services. My total liability in connection with any engagement is limited to the fees paid for that specific engagement. Termination Either party may end an engagement with written notice, subject to any notice period or cancellation terms set out in the proposal. Work completed up to the point of termination will be invoiced. Changes to services or scheduling I reserve the right to adjust formats, delivery methods, or scheduling where genuinely necessary, and will communicate any significant changes promptly. Governing law These Terms and Conditions are governed by the laws of Romania. Any disputes will be resolved in the competent courts of Bucharest. Entire agreement These Terms and Conditions, together with any proposal or booking confirmation, constitute the entire agreement between us and supersede all prior discussions or understandings.
